01Who we are

This website, americanalphalabs.com (the “Site”), is operated by American Alpha Labs Corp, a Florida corporation (Document No. P26000029770), 2814 Monroe Street, Hollywood, FL 33020, United States (“American Alpha Labs,” “we,” “us”). You can reach us at info@americanalphalabs.com. Telephone (561) 704-6478 is for correspondence only and is not an ordering line.

02Acceptance of these Terms

By accessing the Site, creating an account, or placing an order, you agree to these Terms of Use and Conditions of Sale (the “Terms”), together with our Privacy Policy and Shipping, Returns & Refunds Policy, which are incorporated by reference. If you do not agree, do not use the Site.

03Eligibility and accounts

• You must be 21 years of age or older to use the Site or purchase from us.
• Purchasing requires a registered account. Guest checkout is not offered.
• At registration you must confirm the research-use attestation described in Section 4. This confirmation is recorded with your account.
• You agree to provide accurate information and to keep your account credentials secure. We may refuse, suspend, or close any account at our discretion, including where we cannot reasonably satisfy ourselves that materials will be used lawfully.

04Research use only

Every product offered on the Site is supplied strictly for in‑vitro laboratory research use only. Products are not for human or veterinary use of any kind — including, without limitation, any diagnostic, therapeutic, food, drug, cosmetic, or agricultural use, and any form of administration to humans or animals.

• American Alpha Labs is not a pharmacy, is not a compounding pharmacy under Section 503A of the U.S. Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility under Section 503B.
• We do not provide, and nothing on the Site constitutes, medical advice, usage guidance, or advice on administration of any kind.
• You are solely responsible for ensuring that you are qualified to handle research materials, that your intended use is lawful in your jurisdiction, and that materials are handled, stored, and disposed of by appropriately trained personnel in an appropriate facility.
• Product names and descriptions are provided for identification purposes only and are not a representation of suitability for any particular purpose.

05Ordering and payment

• Orders are accepted only through the Site while signed in to your account. All orders are subject to acceptance by us, and we may decline or cancel any order prior to shipment.
• Accepted orders are invoiced. Payment is by Zelle only, to info@AmericanAlphaLabs.com. We do not accept card payments through the Site and no card details are ever requested or stored on this Site.
• Orders not paid within 24 hours of being placed are cancelled automatically. Prices may change at any time prior to order acceptance.

06Ordering channels and fraud warning

We do not accept orders, payment requests, or account communications through Telegram, WhatsApp, social-media direct messages, or any channel other than this Site and the contact email above. Any message on such a channel claiming to sell our products or collect payment on our behalf is fraudulent and should be reported to us.

07Jurisdiction restrictions

We do not ship research compounds to addresses in California or New York. Licensed research institutions located in those states may contact us in writing to inquire; any such sale is at our sole discretion and subject to documentation we deem sufficient.

08Shipping

Shipping is governed by our Shipping, Returns & Refunds Policy. Orders paid and confirmed by 5:00 PM Eastern Time on a business day are generally dispatched the same day; this is a service target, not a guarantee.

09Returns and claims

• Because of the nature of research materials, all sales are generally final and products cannot be returned once shipped.
• If an order arrives damaged in transit, contains the wrong item, or is missing an item, notify us at info@americanalphalabs.com within 7 days of delivery with your order number and photographs where applicable. Verified claims are resolved by replacement or credit as described in the policy above.

10Intellectual property

The Site and its content — including the American Alpha Labs name, logo, artwork, text, and design — are our property or licensed to us and are protected by law. You may not reproduce or use them without our prior written permission, except for normal browsing and sharing of links to the Site.

11Disclaimer of warranties

To the maximum extent permitted by law, the Site and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to any order or use of the Site shall not exceed the amount you paid for the order giving rise to the claim, and in no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, or for any use of products contrary to Section 4.

13Indemnification

You agree to indemnify and hold harmless American Alpha Labs Corp and its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your breach of these Terms, or any use of products contrary to Section 4.

14Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for any dispute lies in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

15Prohibited uses

Section 4 says what our products are for. This section says what you may not do with them, or with the Site. You agree that you will not, and will not allow anyone else to:

• use, or supply for use, any product for human or veterinary use of any kind, or in any way contrary to Section 4;
• resell, transfer, give away, distribute, or otherwise divert any product to any other person or organization. The only permitted transfer is within your own laboratory or institution, to trained personnel who are bound by restrictions at least as protective as these Terms, and you remain responsible for their compliance;
• list or offer any product on any online marketplace, classified listing, social platform, messaging group, or storefront, or present yourself as our distributor, reseller, agent, or authorized representative;
• export, re-export, or transfer any product outside the United States, or to any destination we do not offer at checkout, without the authorization required by law and, where we ask for it, our prior written consent;
• use, arrange, or request a freight forwarder, mail-drop, package-consolidation service, re-shipper, or any other third-party address for the purpose of moving a product to a destination we do not serve, including the states listed in Section 7;
• purchase, or attempt to purchase, if you are under 21 years of age, if you do not meet the eligibility rules in Section 3, or if you are located where the purchase or receipt of research compounds is restricted;
• purchase on behalf of, or pass a product to, any person who could not lawfully purchase it from us directly;
• use bots, scripts, automated tools, or multiple accounts to place orders, hold stock, get around a limit, or exceed a quantity we allow;
• misrepresent your research status, qualifications, identity, organization, or intended use, or give us false information in any attestation, application, order, or communication;
• open a new account after we have declined, suspended, or closed one, use another person’s account, or share your account credentials;
• post on the Site, or send us for publication, any content that describes, suggests, or promotes a use of our products contrary to Section 4. We may remove any such content without notice;
• interfere with the security or operation of the Site, probe or scrape it, or use it to infringe anyone’s rights or to break any law.

We may investigate suspected violations. Where we reasonably believe a violation has occurred or is likely, we may refuse, hold, or cancel orders, remove content, withdraw discounts or program membership, suspend or close accounts, and share relevant information with carriers, payment providers, or public authorities. These remedies are in addition to any others available to us under these Terms or at law, including Section 13.

16Refusal to sell and blacklist

Sections 4 and 15 are the whole basis on which we sell. We enforce them before, during, and after a sale, and we do not make exceptions.

• What triggers it. Any communication from you or on your behalf — an e‑mail, chat, phone call, order note, review, social‑media post, support ticket, photo, or anything else — that leads us to believe that you use, intend to use, have used, or are asking about using any product for human or veterinary use, or otherwise contrary to Section 4 or Section 15. Asking is enough. We do not have to be certain, and we do not have to prove it.
• What we do. We issue a Refusal to Sell: we decline or cancel every open order, refund any amount paid for products not yet shipped, and close your account. We may also permanently decline all future orders from you and from any name, address, phone number, e‑mail address, payment method, or organization associated with you (a blacklist). A blacklist is permanent.
• No debate. The decision is ours alone, is made at our sole discretion, and is not subject to appeal. We do not discuss it beyond a short notice. We are not liable for any loss you claim from a refusal or a blacklist, and Section 12 applies.
• Records. We keep the communication that caused the refusal, and the refusal itself, for as long as needed for compliance and to enforce these Terms, as described in our Privacy Policy, and we may disclose it where the law requires.
• Everyone. This section applies equally to research accounts, institutional and wholesale buyers, Partner Program partners, and Heroes Program members.

17No guidance

We assume that you are a qualified researcher who is familiar with the materials you order and with the laboratory practices that apply to them. We sell materials; we do not advise on them.

• We do not provide, and our staff are not permitted to provide, any guidelines, suggestions, protocols, amounts, timing, preparation for use, or information of any kind about the use of any product in or on humans or animals — by e‑mail, chat, phone, social media, order notes, or in person — regardless of how the question is framed, including “hypothetically,” “for a friend,” or “what do other researchers do.”
• The only information we publish about a product is what appears on the Site and on its Certificate of Analysis: identity, purity, quantity, storage, and handling. Nothing on the Site, in our documentation, or in any communication from us is advice, a recommendation, or a suggestion of use.
• A request for guidance is answered with our standard Refusal to Provide Guidance notice and nothing more. A request that indicates human or veterinary use is handled under Section 16.
• We do not publish guides or calculators for, and do not recommend any product or supply for, preparing or administering any product to a person or an animal.

18Disputes and chargebacks

If you believe you have been charged in error, or you have any problem with an order, please contact us first at info@americanalphalabs.com and include your order number. Our published response target is one (1) business day (see our Contact page). Most issues can be resolved faster that way than through a bank or payment provider, and we ask for the chance to put it right before you take the matter further.

Nothing in these Terms limits, waives, or conditions any right you have to dispute a charge with your card issuer, bank, or payment provider. Those rights are yours, and we do not ask you to give them up.

If you file a chargeback or payment dispute without first contacting us, for an order that was delivered as described and in accordance with these Terms, the dispute may be treated as a potentially abusive or fraudulent dispute for the purposes of our internal fraud review, and we will respond to it with the records we hold. Those records may include your order, payment, tracking, and delivery records, the eligibility and research-use representations you made under Sections 3 and 4, our correspondence with you, and the version of these Terms you accepted.

Where a dispute is resolved in our favor, or where we conclude that a dispute was filed without a good-faith basis, we may decline future orders from you, cancel any pending order, withdraw any discount or program membership, and suspend or close your account. If a payment is reversed after products have been delivered to you, the price of those products remains owed to us, and we may invoice you for it.

Accepted payment methods are shown at checkout and described in Section 5. Some methods, such as bank and peer-to-peer transfers, have no chargeback process. For those, the contact-us-first request in this section still applies, and any error is corrected by replacement, refund, or credit as provided in Section 9 and our Shipping, Returns & Refunds Policy.

19Promotions and discount codes

From time to time we offer discount codes and other promotions. Unless the offer says otherwise:

• only one discount code may be applied to an order;
• codes cannot be combined with each other, with the American Heroes Program discount, with Partner Program codes or referral credit, or with institutional, negotiated, or other special pricing;
• a code applies only to eligible products, only while it is valid, and only when entered at checkout; expiry dates and any other conditions stated with the offer apply, and a code cannot be applied to an order after it has been placed;
• codes and promotional discounts have no cash value, are not transferable, and cannot be exchanged for cash, credit, or a refund.

We may change, suspend, or withdraw any promotion or code at any time. We may cancel an order, or reverse a discount, where a code was used contrary to its conditions, obtained or shared in breach of these Terms, or applied in error. Free-shipping thresholds and similar order-level offers are promotions for the purposes of this section.

The American Heroes Program discount is a standing discount for verified members under that program’s own terms. It is personal to the verified member, applies in place of (not in addition to) any promotional code, and may be withdrawn from any account that breaches these Terms or that program’s terms.

Our current storewide code, MIAMI25 (25% off eligible products, one code per order), may be used through November 26, 2026, subject to this section.

20Electronic communications and notices

When you use the Site, create an account, place an order, or email us, you are communicating with us electronically. You consent to receive communications from us electronically: by email to the address on your account, by messages on the Site or in your account, and, where you have separately opted in, by text message. You agree that electronic communications, notices, disclosures, records, and agreements satisfy any legal requirement that they be in writing or signed. You may unsubscribe from marketing messages at any time; that does not affect service messages about your orders and account.

Ticking a box, clicking a button, or submitting a form on the Site to indicate your acceptance or attestation is your electronic signature, and we keep a record of it with your account.

Keep the email address on your account current. A notice to you is effective when we send it to that address, whether or not you read it. A notice to us must be sent by email to info@americanalphalabs.com or by mail to the address in Section 28, and is effective when we receive it. We may ask you to confirm a notice before we act on it.

21Events outside our control

We are not liable for any delay in performance, or failure to perform, caused by an event outside our reasonable control. These include natural disasters and severe weather, fire, flood, epidemic or public-health measures, war, civil unrest, terrorism, labor disputes, failure of a carrier or supplier, shortage of materials, loss of utilities or telecommunications, internet or hosting outage, cyberattack, and any act, order, or restriction of a government or regulator.

If an event of that kind prevents us from fulfilling an order within a reasonable time, we will tell you, and you may either agree to the delay or cancel the affected part of the order for a refund of what you paid for it. Except for that refund, we are not liable for a delay or failure caused by such an event.

This section does not affect the separate provisions on carrier delay, cancellation, and refunds in our Shipping, Returns & Refunds Policy, which govern those matters, and it does not limit any right or remedy that cannot lawfully be excluded.

22Assignment

These Terms and your account are personal to you. You may not assign, transfer, or delegate your account, your rights, or your obligations under these Terms to anyone else without our prior written consent, and any attempt to do so is void.

We may assign or transfer these Terms, in whole or in part, to an affiliate, or to a successor in connection with a merger, reorganization, or sale of all or substantially all of our business or assets, without your consent. We will tell you if we do. These Terms bind and benefit the parties and their permitted successors and assigns.

23No waiver

If we do not exercise or enforce a right or provision of these Terms, that is not a waiver of it, and we may still enforce it later. A waiver is effective only if it is in writing and signed by us, and it applies only to the specific instance it describes. Accepting an order, a payment, or a late performance is not a waiver of any breach.

24Severability

If any provision of these Terms, or its application to any person or circumstance, is held invalid, illegal, or unenforceable, that provision will be enforced to the fullest extent permitted, and the rest of these Terms will remain in full force. Where the law allows, the provision will be modified or limited rather than struck out, so that it comes as close as lawfully possible to its original intent.

25Entire agreement

These Terms, together with our Privacy Policy, our Shipping, Returns & Refunds Policy, and the rules published on the page of any program you have joined with us (such as the American Heroes Program or the Partner Program), are the entire agreement between you and us about the Site and your orders. They replace any earlier or other terms, understandings, or communications on those subjects.

Any terms contained in a purchase order, confirmation, or other document you send us are rejected and have no effect unless we accept them in a writing signed by us. If there is a conflict, these Terms govern, except that the Shipping, Returns & Refunds Policy governs shipping, cancellation, claims, and refunds, and a program’s own terms govern that program.

Headings are for convenience only and do not affect interpretation. There are no third-party beneficiaries of these Terms, except that the persons you agree to indemnify under Section 13 (our officers, directors, and employees) may enforce that section.

26Survival

Any part of these Terms that by its nature should continue after your account is closed or an order is complete will survive, including the representations you made under Section 3, Section 4 (Research use only), Section 7 (Jurisdiction restrictions), Section 9 (Returns and claims), Sections 10 through 16, and Sections 20 through 24. Closing your account, or our ending our relationship with you, does not affect any obligation that arose before then, including payment for products already delivered.

27Changes to these Terms

We may update these Terms from time to time. The effective date above reflects the latest revision; continued use of the Site after a revision constitutes acceptance. Material changes to the Conditions of Sale apply to orders placed after the change.
