By accessing this website, applying for a research account, or placing an order, you agree to these Terms, our Privacy Policy, and our Shipping, Returns & Refunds Policy, which are incorporated by reference. If you do not agree, do not use this website.

If you act on behalf of an organization, you represent that you are authorized to bind that organization, and “you” means both you and that organization.

02Research Use Only

Nothing on this website is medical advice. American Alpha Labs provides no dosing, administration, reconstitution-for-use, or usage guidance under any circumstances, and will not do so on request. No statement on this site has been evaluated by the U.S. Food and Drug Administration, and no material is intended to diagnose, treat, cure, or prevent any disease or condition.

American Alpha Labs is not a pharmacy, not a compounding pharmacy, not a healthcare provider, and is not a 503A or 503B compounding facility.

03Eligibility

To apply for an account or place an order you must:

• Be 21 years of age or older;
• Be a qualified researcher, or be authorized to purchase on behalf of a laboratory or research organization;
• Have the training, facilities, and competence to handle research materials safely; and
• Purchase solely for legitimate in-vitro laboratory research.

We may require evidence of any of these at any time, and may suspend or close an account where evidence is not provided.

04Accounts And Verification

Orders are accepted only from verified accounts. Submitting an application does not create an account, reserve stock, or create an order. We verify every applicant and may decline any application at our sole discretion without stating a reason.

You must provide accurate, complete, current information and keep it updated. You are responsible for the confidentiality of your credentials and for all activity under your account.

05Jurisdictional Restrictions

We do not ship research compounds to California or New York. State regulations restrict the sale of research compounds in those jurisdictions to licensed institutions, and orders to those destinations are declined at checkout. Licensed research institutions in those states may contact us regarding individual credential verification.

You are responsible for confirming that the materials you order may lawfully be received, possessed, used, and disposed of in your jurisdiction. Providing an address outside a restricted state in order to obtain delivery into one is a material breach of these Terms and grounds for immediate account closure.

06Prohibited Uses

You may not:

• Use, administer, or supply any material for human or veterinary use;
• Resell, distribute, or transfer materials to any person who has not agreed to equivalent restrictions;
• Repackage, relabel, or represent materials as suitable for human or clinical use;
• Use materials in any manner violating federal, state, or local law, or applicable institutional or safety requirements;
• Misrepresent your identity, credentials, organization, jurisdiction, or intended use; or
• Use the website to transmit unlawful, infringing, or malicious content, or to interfere with its operation or security.

07Orders, Pricing And Invoicing

All orders are offers to purchase and are not binding until we accept them in writing. We may refuse, limit, or cancel any order at our sole discretion, including for inventory or pricing errors, payment concerns, suspected fraud, inability to verify research use, or legal or regulatory restriction.

Prices are in U.S. Dollars (USD) and exclude shipping, duties, and applicable taxes unless expressly stated. Prices may change without notice; the price confirmed on your invoice governs your order. We are not bound by typographical or pricing errors.

Eligible pricing programs require verification and do not combine — one program applies per order, and where more than one is available, the highest applicable discount is used. Program terms may be changed or withdrawn prospectively.

08Payment

Payment is accepted by ACH/e-check or bank wire transfer against an issued invoice. Invoices are payable on the terms stated on the invoice. Materials are released for shipment after payment is received and cleared unless we have agreed otherwise in writing.

09Shipping, Returns And Refunds

Shipping, delivery, claims, cancellations, returns, and refunds are governed entirely by our Shipping, Returns & Refunds Policy, which forms part of these Terms. Where these Terms and that policy differ on any shipping, return, or refund matter, that policy governs.

Unless otherwise agreed in writing, title and risk of loss pass to you on delivery to the carrier.

10Purchaser Responsibility

You are solely responsible for the lawful and safe receipt, handling, storage, use, and disposal of all materials, for the competence and training of anyone you allow to handle them, for securing them against access by unauthorized persons or minors, and for all consequences of any use. You assume all risk arising from use of materials after delivery.

11Documentation And Analytical Results

Where a certificate of analysis is provided, it reflects testing performed on the identified lot only and describes identity, purity, and content. Analytical results are not statements of safety, efficacy, or suitability for any purpose, and expressly do not indicate suitability for any use in humans or animals.

12Intellectual Property

All content on this website — text, images, video, logos, product photography, and page design — is owned by American Alpha Labs or its licensors and is protected by intellectual property law. You may not copy, reproduce, republish, or use it commercially without our prior written consent.

13Disclaimer Of Warranties

Except for any express warranty stated in writing on an invoice or certificate of analysis, and to the fullest extent permitted by law, materials and this website are provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14Limitation Of Liability

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here excludes liability that cannot lawfully be excluded.

15Indemnification

You agree to indemnify and hold harmless American Alpha Labs, its officers, employees, and agents from any claim, liability, loss, damage, cost, or expense, including reasonable legal fees, arising out of your breach of these Terms, your misrepresentation of identity, credentials, or intended use, your handling or use of any material after delivery, or any use of a material in violation of law or of the research-use restriction.

16Governing Law And Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.

Before filing, please contact us so we can attempt to resolve the matter directly. Nothing in this section limits any right you have to bring a claim in small-claims court or before a regulator.

17Suspension And Termination

We may suspend or terminate your access or account at any time, with or without notice, for breach of these Terms, suspected misrepresentation, suspected diversion to human use, legal or regulatory requirement, or any other reason at our sole discretion. Sections 02, 10, 13, 14, 15, and 16 survive termination.

18Changes And General

We may update these Terms prospectively. The version in effect when your order is placed governs that order. If any provision is held unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver. These Terms, with the policies referenced, are the entire agreement between us regarding their subject matter.
